JUS Partners Affiliate Terms and Conditions

Version 2.1. For new Affiliates this edition applies upon acceptance. For existing Affiliates it applies under section 13, no earlier than 7 calendar days after proper notice stating the application date and the consequence of continuing new traffic. Publication alone does not establish notice or acceptance. Terms for previously sent traffic and previously acquired cohorts remain protected under section 13.

Edition dated 21 October 2026

These Terms govern cooperation between JUS and professional affiliates who drive traffic to advertisers' products. Rates, permitted sources, payable-action criteria and settlement schedules are agreed in each Offer before launch. Payment depends on validation of results and receipt of the corresponding funds from the Advertiser, except where JUS expressly agrees a payment guarantee.

1 Parties and contractual documents

1.1. The JUS Partners network is operated by Alfa Gates Partners, registered in Georgia, registration number 404831410, address: Georgia, Tbilisi, Nino and Ilia Nakashidze Street, No. 1, (former Avlevi), Apartment No. 3, Building No. 3 (JUS). The Network is available at jus.partners, partners.jus.partners and tracking domains notified by JUS. Legal contact: legal@jus.partners.

1.2. Affiliate means a legal entity or an individual lawfully providing marketing services for business or professional purposes. The agreement is not intended for consumers. A representative confirms authority to bind the Affiliate. JUS does not operate a casino or sportsbook and does not accept bets, deposits or player funds.

1.3. Advertiser means the operator of the promoted product or a client authorised to commission its promotion. Offer means the terms of a specific campaign approved by JUS. Target Action means an action of a referred user specified in the Offer. Commission means the amount calculated for the Affiliate under the Offer and these Terms. Panel means the Affiliate's account on the Network platform.

1.4. The agreement comprises these Terms, Offers accepted by the Affiliate and agreements signed by the parties. A signed agreement prevails to the extent of an express conflict. An Offer sets campaign parameters and may vary rules that these Terms expressly allow it to vary. Other departures, including a guarantee of payment irrespective of the Advertiser's payment, are valid only if they expressly identify the rule being varied and are confirmed in writing by an authorised JUS representative. Offer approval does not override legal restrictions; GEO authorisation in an Offer is governed by clause 3.7.

1.5. Acceptance takes place by ticking the acceptance box and submitting the form or by another method that establishes the Affiliate's identity, the accepted text and intent to accept. Sending traffic constitutes acceptance only after the Affiliate has been given these Terms and the relevant Offer with notice of that consequence. Electronic records and correspondence may be used as evidence; their content and authenticity may be challenged.

2 Eligibility and territories

2.1. A representative and an individual Affiliate must be at least 18 and of the applicable age of majority. The Affiliate provides accurate identity, company, beneficial-owner, tax, payment and traffic-source information and updates it when it changes. JUS may decline admission or request supporting documents.

2.2. The Affiliate's place of establishment or operations and player GEOs are assessed separately. Registration in the Network does not authorise every market. Traffic is permitted only for the product, territory, audience and source expressly included in an approved Offer and subject to applicable requirements. WW and Tier 1–3 describe the Network's potential coverage, not universal launch authorisation.

2.3. There are no general contractual restrictions based on the Affiliate's country of establishment or operations or on player GEO, other than those in clause 2.4. Affiliates from any country may be admitted. The player GEOs for a particular campaign are set by the Offer (clauses 2.2 and 3.7).

2.4. Transactions that breach sanctions binding on JUS, the Affiliate or the particular transaction are prohibited. Listing a GEO in an Offer under clause 3.7 does not override binding sanctions restrictions. The Affiliate discloses beneficial owners and payment recipients, does not conceal their identities and does not use the Network to evade restrictions, engage in bribery or launder money. JUS may refuse or suspend a transaction on legal grounds or because of the servicing provider's requirements; where possible it explains the grounds and offers a lawful alternative method of performance. Blocking a transaction does not automatically forfeit the balance.

2.5. An Affiliate uses one account unless additional accounts are approved in writing. It is responsible for its representatives, contractors and sub-affiliates and ensures equivalent obligations apply to them. New sub-affiliates require JUS's written approval. Account transfers, concealment of ownership and evasion of suspensions are prohibited. Compromised credentials, API keys or postbacks must be reported to JUS immediately; both parties take reasonable steps to limit harm.

3 Offers and GEO authorisation

3.1. Before traffic starts, the Offer must specify the product and campaign identifier; GEOs, sources and audiences; the Target Action and validation criteria; the Commission model and rate or formula; accounting currency; reporting, reconciliation and payment periods; minimum payout; attribution and post-click rules; CAP and time zone, where a cap applies; and any KPIs and Baseline with the consequences of non-fulfilment. RevShare Offers must also specify the revenue base, deductions, negative carryover and accrual period. Where required parameters are missing, launch is not authorised until they are clarified in writing.

3.2. Post-click means the period after a click during which an action may be attributed to the Affiliate. CAP means the maximum payable actions or traffic volume in the units and period set by the Offer. OVERCAP means exceeding that limit. A CAP must specify whether it is individual or shared; a shared cap applies only where the Affiliate has an accessible way to monitor the remaining allowance or receives a timely stop notice.

3.3. KPIs are measurable traffic-quality indicators. Baseline means an expressly agreed minimum threshold, such as a specific player's deposit or confirmed action volume for a period. The Offer must specify the measurement unit, formula, data source, period and exact consequence of falling short: exclusion of a particular action, a rate reduction, deferred settlement or another agreed result. Baseline does not automatically mean forfeiture of all Commission for the period. An indicator or consequence not agreed before launch cannot independently justify reducing payment for traffic already sent.

3.4. The Affiliate sends traffic only after approval of the Offer and integration. New sources, brand-keyword bidding, apps, push, pop and messenger campaigns require written agreement. Agreed terms are recorded in the Panel or by email. Messages from an identified manager in an agreed messenger may evidence operational instructions, but changes to rates, KPIs, caps, payment guarantees and GEOs take effect after confirmation in the Panel or by email. Silence is not approval.

3.5. JUS may change or stop an Offer by notifying the Affiliate. Changes apply only to traffic sent after the notice takes effect; ordinary rate or KPI changes take effect no earlier than the next business day after notice. Immediate suspension is permitted where the Advertiser stops the campaign, a legal prohibition applies, security is threatened or there are reasonable grounds to suspect a breach. The rules for previously sent authorised traffic, including post-click, remain in force, except where mandatory law prohibits this or the actions are proven invalid.

3.6. OVERCAP and traffic sent after a stop takes effect are not payable unless JUS agrees an exception in writing. The Affiliate must monitor accessible caps and notices. Disputes about stop times, shared caps and technical delays are assessed using both parties' records; an inaccessible shared limit is not applied retrospectively.

3.7. A country expressly identified as a permitted GEO in an Offer approved by JUS for that Affiliate constitutes JUS's authorisation to work under that Offer in that country. No additional separate GEO authorisation is required. The authorisation applies only to the product, sources, audience and duration specified in the Offer; WW or Tier 1–3 labels, availability of a link and oral messages are not such authorisation.

3.8. When working in a GEO permitted by an Offer, the Affiliate independently assesses the legality and risks of its advertising activity in the country, obtains the permissions it needs and bears the costs, losses, suspensions, claims and sanctions associated with its own conduct. JUS's approval is contractual authorisation of a source and GEO, not a guarantee that advertising is lawful, that the Affiliate is licensed or that regulatory risks are absent. To the extent permitted by law, JUS is not liable for those consequences of the Affiliate's acts or omissions; claims against JUS resulting from the Affiliate's breach are indemnified under clause 11.4. This provision does not exclude JUS's mandatory liability for its own conduct, change agreed payment rules or authorise a breach of law, sanctions restrictions under clause 2.4 or other mandatory restrictions. If a launch is unlawful, listing the GEO in an Offer does not authorise it.

4 Marketing and prohibited conduct

4.1. The Affiliate is responsible for the legality of its marketing, necessary permissions, advertising disclosures, age restrictions and platform rules. JUS is responsible for its own mandatory requirements; the agreement does not automatically transfer them to the Affiliate. Approval of a creative or Offer is not a legal opinion on the lawfulness of every campaign. JUS may request evidence of authority to promote a product and suspend a campaign where there are reasonable concerns.

4.2. Advertising must not target minors, persons below the local gambling age, self-excluded or vulnerable persons; present gambling as guaranteed income or a solution to financial problems; or conceal material bonus terms and mandatory warnings. Creatives specifically appealing to minors are prohibited.

4.3. Fake registrations and deposits, bots, self-referrals, multi-accounting, collusion with players, bonus abuse, cookie stuffing, forced or hidden clicks and redirects, malware, spam, source or GEO spoofing, data theft and falsified conversions are prohibited. Motivated, cashback and incentive traffic is allowed only where expressly authorised in writing in the Offer and lawful. Collusion with a JUS employee and obtaining concealed advantages outside approved terms are prohibited.

4.4. Brand bidding, confusingly similar domains and accounts, copies of websites and apps, unauthorised APKs and use of one party's brands to promote another product require written permission. False endorsements, fake news material, use of a person's name, image or voice without necessary rights, placement on piracy resources and tracking substitution are always prohibited. Creating or distributing a link intended for one specific player in order to conceal a self-referral or, without the Offer's authorisation, to pass part of the Commission, a bonus or another benefit to that player is prohibited. Otherwise, use of a personalised link is not itself a breach where it complies with the Offer and data-processing rules.

4.5. The Affiliate provides information about sources, placements, creatives and sub-affiliates relevant to the campaign under review. Exports, screen sharing or limited read-only access are preferred. JUS does not request passwords, seed phrases or access to unrelated campaigns; information is used for approval, verification and dispute resolution subject to confidentiality.

5 Attribution and reconciliation

5.1. Approved JUS links and integrations must be used. Statistics are provisional until reconciliation. A payable action must satisfy the agreed Offer, be attributed to the Affiliate, be confirmed by the Advertiser and pass JUS review. Validation and reconciliation periods are set in the Offer; expiry does not automatically validate actions, but JUS explains the delay and expected timing.

5.2. Advertiser reports and JUS tracking form the basis for reconciliation. Where they differ, confirmed Advertiser data are the starting point for review, not conclusive evidence; unless the Affiliate provides verifiable information rebutting them, the calculation is based on them. JUS considers Affiliate logs, postbacks and other verifiable information and explains material adjustments, identifying the affected period, actions or segment and grounds. Confidential antifraud methods and third-party data may be withheld while preserving a sufficient explanation of the substance of the claim.

5.3. Unrecorded actions are not automatically payable. Where an outage can be substantiated, the parties reconcile alternative data in good faith; absence of a record does not itself exclude payment if the action, attribution and other conditions are proven. Liability for technical harm is governed by section 11.

5.4. Objections to a statement or adjustment must be submitted within 30 calendar days after confirmed receipt of notice under clause 13.3 and provision of access to the relevant statement or calculation, counted from the later event. If an adjustment takes the form of a decision under clauses 7.4–7.5, the single deadline and procedure in clause 6.8 apply; no separate shorter deadline arises. After that period the statement is deemed agreed for payment purposes; JUS considers later objections if they are based on evidence the Affiliate could not have provided earlier. Agreement of a statement alone does not replace the conditions for admission of a repayment claim and set-off under clause 6.8. JUS provides a reasoned response within 14 calendar days or explains an extension and states a response date. This operational deadline does not alter statutory limitation periods.

6 Commission and payments

6.1. CPA means a fixed payment for a validated Target Action; RevShare means a share of the agreed revenue base for referred players; Hybrid combines the models. The base and permitted deductions are disclosed in the Offer. Negative carryover applies only if expressly agreed and only within the relevant Offer and agreed player group; it does not reduce CPA or revenue from other Offers without a separate express agreement.

6.2. The obligation to pay the relevant Commission arises after validation of results and JUS's receipt of the corresponding Advertiser funds. JUS does not guarantee the Advertiser's solvency. Where JUS expressly agrees guaranteed payment irrespective of receipt of funds, that guarantee applies. Partial payments are allocated to actions and periods identified by the Advertiser; where the allocation is insufficiently specified, they are distributed proportionally to validated amounts for the relevant unpaid period without arbitrary preference among affiliates.

6.3. If the Advertiser delays payment, JUS takes commercially reasonable collection steps, reports material delays and updates the status at least every 30 calendar days. JUS is not obliged to fund litigation disproportionate to the amount, but must not act in bad faith to prevent receipt or use received funds for other purposes to delay payment. Recovered amounts are paid in the next agreed payment cycle, no later than 10 business days after receipt where payout conditions are met. A different, longer period requires express agreement in the Offer.

6.4. The schedule, minimum payout, accounting currency and permitted payment methods are set before launch. Sub-minimum balances carry forward without forfeiture. JUS may request legally necessary documents, an invoice and verification of payment details. Missing documents suspend only payments for which they are needed. JUS specifies missing information and checks a complete set within a reasonable period, normally up to 10 business days.

6.5. Payments are sent to the Affiliate's agreed and verified details; payment to a third party requires separate approval and checks. Changes require confirmation through a previously verified channel. The Affiliate is responsible for errors it supplies; JUS is responsible for following the agreed procedure and for its own execution errors. The asset, network, exchange-rate source and conversion time for cryptocurrency payments are agreed before transfer. JUS does not substitute them unilaterally. The Affiliate bears previously disclosed third-party provider fees; each party is responsible for its own taxes, and mandatory withholding is supported by a calculation.

6.6. JUS may adjust overpayments, validated reversals, chargebacks, failure to meet previously agreed criteria and proven breaches. Adjustment notice is given within 180 calendar days after the relevant payment, with a calculation and grounds. A longer window applies only if expressly agreed in the Offer in advance. This limit does not override law or claims involving proven intentional fraud or concealment of material facts, to which statutory periods apply. The Advertiser's subsequent failure to pay for another period does not justify recovery of Commission previously paid correctly.

6.7. A chargeback may invalidate a particular payable action under the Offer but does not itself prove Affiliate fraud. An Advertiser penalty is recoverable from the Affiliate only where it is demonstrably connected to the Affiliate's breach of previously communicated requirements, supported by a documented calculation and subject to reasonable steps by JUS to contest an unjustified amount. The same loss cannot be recovered twice.

6.8. Set-off is permitted for an undisputed amount, an amount admitted in writing or one established by a final binding decision, subject to law. To the extent permitted by law, an amount in a reasoned JUS decision under clauses 7.4–7.5 is deemed admitted for contractual repayment and set-off unless the Affiliate submits a reasoned objection within 30 calendar days after confirmed receipt of the decision under clause 13.3 and access to its calculation and supporting materials, counted from the later event. The decision must separately and clearly warn of this deadline and the consequence of silence; without that warning or delivery confirmation, silence is not admission. Objections to the decision and the corresponding adjustment are considered together under clause 5.4. A timely reasoned objection prevents admission by silence of the disputed portion; pending settlement or a final binding decision, it may be reserved only under section 7 and is not treated as finally recovered. An admitted or established repayment amount is payable within 14 calendar days after the later of its admission or establishment and confirmed receipt of the repayment demand. The undisputed portion is paid separately within the same period. Later objections based on previously unavailable evidence are considered under clause 5.4; if an error is confirmed, JUS corrects the calculation and returns any excess recovered. Contractual admission does not remove the right to challenge the claim in court or shorten statutory time limits.

6.9. Where Commission is accounted for in EUR and the agreed payout is in USDT, the obligation remains denominated in EUR until payment. Unless a different source and calculation method are expressly agreed in advance, the public best ask price for USDT/EUR on Kraken, expressed in EUR per 1 USDT, is used. This is an agreed calculation benchmark, not an obligation to use Kraken's services. The rate is fixed when preparing the particular transfer, no more than 5 minutes before submitting an irrevocable payment instruction to the provider or broadcasting the blockchain transaction. The date and exact time of that fixing are recorded in UTC and additionally displayed in Tbilisi time. Accrual, period close, payout request and receipt of Advertiser funds do not fix the rate. Deferred instalments are calculated separately when sent.

6.10. USDT to send = Commission being discharged in EUR / EUR per 1 USDT rate − previously agreed USDT fees. A fee expressed in EUR is converted to USDT at the same rate and is not deducted twice. USDT is not automatically treated as equal to USD. No intermediate rounding is applied; the final amount is rounded down to 6 decimal places or the lower technical precision of the agreed provider, and any positive remainder is retained on the EUR balance. No undisclosed JUS markup or arbitrary internal rate applies. A different source, provider rate, conversion fee or fixed rate is permitted only if the calculation method is agreed in writing beforehand.

6.11. JUS retains the quote and provides in the payment statement the EUR amount discharged, rate source and value, fixing time, gross USDT amount, fees, amount to send, network and transfer identifier. If a current quote is unavailable, the market is suspended or data are manifestly erroneous, JUS agrees an alternative source or lawful payment method; yesterday's rate and automatic USDT/USD parity are not used. Notice is given without undue delay; inability to perform one conversion does not extinguish the EUR obligation or itself permit indefinite payment delay.

6.12. If the instruction is not accepted or the transfer is finally rejected and returned to JUS, payment is not complete: the original EUR obligation is restored, less any portion successfully received, and a repeat transfer uses a fresh quote. No duplicate payment is made while a transaction remains pending. Payment is complete when receipt of the agreed USDT amount at the verified address on the agreed network is confirmed with the number of confirmations agreed before sending or the payment provider's final status. After completion, exchange-rate changes, subsequent conversion costs and availability of the Affiliate's chosen wallet are the Affiliate's risks, except consequences of JUS's breach of the agreed procedure. If USDT materially deviates from USD, the parties may agree a different asset or payment method; unilateral asset substitution is not permitted.

6.13. Adjustments and repayment claims are calculated in the original accounting currency of the relevant Commission, not the historical quantity of USDT sent. For an agreed repayment of an EUR debt in USDT, the source, quote direction and fixing window in clause 6.9 apply unless otherwise agreed in writing beforehand. Before transfer, JUS confirms the debt amount, address, network and receipt-confirmation criterion; the Affiliate as sender fixes and retains the quote no more than 5 minutes before the irrevocable instruction or transaction broadcast and sends JUS the calculation and transfer evidence with the information under clause 6.11. USDT to be received by JUS equals the EUR amount being discharged divided by the fixed EUR per 1 USDT rate; technical rounding is upwards to 6 decimal places or the lower precision of the agreed provider. The Affiliate bears documented transfer and conversion fees in addition to that amount unless otherwise agreed in writing; they do not reduce the debt discharged. Repayment is complete upon confirmed receipt by JUS of the agreed amount on the agreed network. For partial receipt, the debt is reduced by the USDT actually received multiplied by the fixed rate; the remainder stays in EUR. Any rounding excess is credited to the Affiliate rather than retained by JUS for its own benefit. If a transfer finally fails, the undischarged debt remains and a repeat transfer uses a fresh quote. If a reliable quote is unavailable or a binding prohibition applies, the parties agree a lawful alternative under clause 6.11; unilateral substitution of the rate or asset is not permitted. For other accounting-currency and payout-asset combinations, the source, quote direction, fixing time and fees are agreed before the first such payment; the names USD and USDT do not imply a one-to-one rate.

7 Reviews and temporary holds

7.1. Where there are specific indications of fraud or breach, JUS may stop affected traffic and temporarily hold an amount reasonably connected with the review. Within 5 business days JUS states the subject, period, provisional amount and information required, unless disclosure is prohibited by law or presents a substantiated investigation risk. The entire balance may be held only where there are indications of systemic breach or fraud across several Offers, account compromise or a reasonable estimate of potential losses at least equal to the balance; the reason is recorded and reviewed.

7.2. The Affiliate has at least 5 business days to provide information, with a reasonable extension upon a justified request. A review normally ends within 45 calendar days. For complex matters JUS may extend it, with reasons, to an overall 90 calendar days. The status and justification for the amount held are reviewed at least every 30 calendar days. Failure to provide information does not itself prove fraud but may prevent validation of particular actions and justify stopping new traffic.

7.3. A contractual temporary hold beyond 90 calendar days is permitted only for specific transactions covered by a documented outstanding Advertiser investigation or chargeback, or as security under clause 7.4. The overall continuous contractual hold of the same amount, including review and subsequent security, must not exceed 180 calendar days from the first hold of that amount on the relevant facts. A JUS decision, change of grounds or reopening of a review on the same facts does not restart the period. A further hold requires a separate written agreement specifying its duration, or a binding legal prohibition or an enforceable protective measure of a court or competent authority that expressly prevents payment of the relevant amount. Filing or acceptance of a claim, or an unfinished internal JUS review, does not itself extend the hold. A legal restriction covers only the affected amounts for its duration. When the grounds cease or the applicable period expires, JUS releases the reserve without undue delay; further settlement is governed by clause 7.4.

7.4. On completing a review JUS releases the reserve or provides a reasoned decision, calculation and supporting materials stating the objection procedure under clause 6.8. If the decision establishes fraud, deliberately fake traffic or a repeated material breach, JUS may retain the unpaid balance up to the documented claim (Advertiser reversals and penalties under clause 6.7 and JUS's direct losses) as security pending settlement, but only within the overall period in clause 7.3, counted from the first hold rather than the decision date. The security amount is reviewed at least every 30 calendar days; any excess over the substantiated claim is released without undue delay. Any other unagreed damages claim does not create an independent right to withhold beyond the review. Expiry of the reserve period does not extinguish JUS's right to prove its claim, but the disputed amount cannot be retained or finally set off without grounds under clauses 6.8 and 7.3. After release of the reserve, Commission already due for payment is transferred within 5 business days, provided verified payment details are available and no binding prohibition applies. The separate condition of receipt of Advertiser payment under clause 6.2 remains in effect; completion of a review does not turn unreceived Advertiser funds into guaranteed JUS payment.

7.5. If a breach is established, JUS may exclude affected actions, seek justified recovery or damages, suspend the Offer or terminate the agreement. The rate for previously sent authorised traffic is not reduced as an arbitrary penalty. Unaffected amounts are paid under normal conditions. The Affiliate may submit objections and seek independent dispute resolution; JUS's decision does not remove that right.

8 Intellectual property

8.1. Rights in JUS identifiers, materials, website, software and databases remain with JUS or the relevant rights holders. During an approved campaign the Affiliate receives a limited, non-exclusive, non-transferable right to use supplied materials within the agreed scope. Unauthorised registration of similar domains, accounts or trademarks, cloning the Panel and impersonating JUS are prohibited.

8.2. The Affiliate confirms the necessary rights in its creatives and permits JUS and the relevant Advertiser to use supplied copies only for approval, monitoring, reporting and disputes. This does not authorise independent commercial resale of creatives. Public use of the other party's name, logo or case study requires written consent. Advertising use stops when permission is withdrawn or the campaign ends; evidential copies may be retained for the legally necessary period.

9 Confidentiality and non-circumvention

9.1. Both parties' non-public rates, Offer terms, contacts, statistics and financial, technical and business information are confidential. The recipient uses them only for cooperation, discloses them to staff, contractors and advisers on a need-to-know basis with equivalent safeguards and takes reasonable security measures. Information lawfully known previously, public without breach, independently developed or lawfully obtained from a third party is excluded. Mandatory disclosure is allowed to the minimum extent necessary, with advance notice where permitted.

9.2. Confidentiality continues during the agreement and for 3 years after it ends; trade secrets and personal data are protected longer where law requires. JUS may disclose necessary campaign and review information to the Advertiser subject to purpose restrictions and applicable data requirements.

9.3. During the agreement and for 12 months after it ends, the Affiliate must not bypass JUS by diverting the same or substantially similar business directly or through an intermediary to an Advertiser whom JUS demonstrably introduced to the Affiliate for cooperation. This does not cover documented pre-existing relationships, independently established connections without using JUS confidential information or dealings expressly authorised by JUS in writing. Appearance in a public Advertiser catalogue does not itself prove introduction by JUS.

9.4. For proven circumvention JUS may claim documented direct losses and lost net margin on business actually diverted during the breach within the restricted period, to the extent permitted by law. Affiliate payments and saved variable costs are deducted from revenue. The initial lost-margin calculation uses JUS's average daily net margin on the Affiliate's traffic with the relevant Advertiser during the 3 months immediately preceding the breach. If cooperation lasted less, the actual cooperation period is used; days without revenue within that period are included. Average daily margin equals total net margin for the baseline period divided by its number of calendar days. It is multiplied by the number of calendar days of proven breach and the documented proportion of business diverted. The proportion is determined using comparable revenue, action or traffic-volume data appropriate to the Offer model; the selected metric and calculation are disclosed to the Affiliate. If the proportion changed, the relevant periods are calculated separately. A partial month is not counted as a full month; missing data on the proportion does not imply diversion of all business. If representative history is unavailable, baseline margin is non-positive or the proportion cannot be substantiated, no amount is presumed: JUS proves its losses through another verifiable calculation. The calculation is a rebuttable estimate rather than a fixed penalty: JUS may prove higher, and the Affiliate lower, actual losses. JUS must reasonably mitigate loss; double recovery is excluded.

10 Personal data

10.1. Each party is responsible for processing for its own purposes and for applicable notices, legal bases, security and data-subject rights. Roles follow actual processing. If one party processes data on the other's instructions, or an agreement on joint processing or international transfer is required, that agreement is concluded before processing begins. Acceptance of these Terms does not replace player consent where it is required.

10.2. Names, emails, phone numbers, card details, passwords and identity documents must not be placed in tracking links, sub-IDs or postbacks. Necessary pseudonymous identifiers are used; pseudonymisation does not automatically make data anonymous. Additional data are transferred only through an agreed secure channel where lawfully necessary.

10.3. The Affiliate provides required consents and notices on its placements and substantiates them upon a justified request. Each party notifies the other of an incident affecting campaign data without undue delay, where possible within 24 hours of discovery, and assists remediation. This does not replace mandatory deadlines for notifying authorities and individuals. JUS contact: dpo@jus.partners; JUS processing is described in the applicable Privacy Policy.

11 Liability and events beyond control

11.1. The Network is provided as available without guaranteed earnings, volumes or uninterrupted operation. Each party takes reasonable steps for security, evidence preservation and loss mitigation. JUS gives advance notice of planned maintenance where possible. The Affiliate's marketing expenditure is not reimbursable merely because a campaign fails to achieve expected performance.

11.2. To the extent permitted by law, neither party compensates indirect losses or lost profits, except circumvention losses expressly covered by clause 9.4 and third-party claims under clause 11.4. JUS's aggregate contractual and non-contractual liability is capped at the Commission paid or become payable to the Affiliate in the 3 months before the first event giving rise to the claim.

11.3. The limitations in clause 11.2 do not apply to payment of Commission under section 6, intentional misconduct, fraud, gross negligence or liability that cannot lawfully be limited. Recoveries and set-offs are not applied twice to the same loss. The agreement does not exclude JUS's own liability to authorities and third parties imposed by mandatory rules.

11.4. The Affiliate indemnifies JUS for reasonable documented losses and expenses, including legal costs, on third-party claims caused by the Affiliate's breach of contract, law or third-party rights, including its contractors' conduct. Indemnity is reduced to the extent caused by JUS's conduct. JUS gives prompt notice, allows the Affiliate to participate in the defence and does not admit a claim or settle it so as to impose obligations on the Affiliate without its consent, not unreasonably withheld, except for actions mandatory by law.

11.5. A party is not liable for delay to the extent and for the period that extraordinary events beyond its reasonable control prevent performance, provided it gives timely notice and mitigates consequences. Ordinary lack of funds is not itself such an event. Existing monetary obligations are not extinguished; a lawful prohibition on a particular payment may suspend performance. Advertiser non-payment risk is separately governed by clause 6.2.

12 Duration and termination

12.1. The agreement continues indefinitely. Either party may terminate without cause on 7 calendar days' notice. JUS may immediately suspend new traffic where there is a reasonable fraud, security or legal risk. Immediate termination is permitted for a proven material breach, a mandatory prohibition, failure to provide information under clause 2.1 or 4.5 within the period in clause 7.2 after a repeated request, or failure to cure a remediable material breach within 10 business days after notice. If the Advertiser ends the campaign, JUS may terminate the relevant Offer immediately. Irreversible or intentional breaches require no cure period.

12.2. On termination the Affiliate stops new traffic and use of materials. Valid actions from previously authorised traffic, including the agreed post-click window, are reconciled and paid under the previous rules. Final payment of a due balance is made regardless of the ordinary minimum threshold, less previously disclosed actual fees. If fees exceed the amount, the parties agree a more economical lawful method; JUS does not appropriate the balance.

12.3. Termination does not itself cancel RevShare for players lawfully referred before termination. The previous rate, base and agreed accrual period remain for those cohorts while the Advertiser provides the corresponding reports and funds to JUS. If no duration was agreed in advance, accrual for those cohorts continues for 12 months after termination, without a guarantee of product operation or Advertiser payment. JUS must not artificially transfer the cohort to end payment. On termination for established fraud, JUS may end future accrual for all cohorts of the affected Offer only if the systemic nature of the fraud and its material effect on the reliability of accounting or the lawfulness of the Offer as a whole are proven, making reliable separation of legitimate cohorts objectively impossible. Otherwise, cessation of accrual affects only actions and cohorts demonstrably connected to the breach; an isolated invalid action does not itself end income from the entire Offer. The reasoned decision must state the evidence, affected cohorts and the date future accrual ends, which cannot precede confirmed receipt of the decision by the Affiliate. Objections are submitted and considered under clauses 5.4 and 6.8; records for the relevant cohorts are maintained during the dispute, and holds remain subject to section 7. If the decision is reversed, accrual is reinstated from that date on the previous terms. Valid Commission already accrued is not cancelled; its adjustment, set-off and payment remain governed by sections 5–7 and clause 12.2. Mandatory legal requirements prevail.

12.4. After 12 months without new traffic and without accruals, JUS may close access to an inactive account on 60 calendar days' notice and offer a statement and withdrawal of the remaining balance. Closing access does not cancel valid Commission. If payment is impossible because details are missing or a legal restriction applies, the amount is separately recorded and retained in accordance with applicable law.

12.5. Settlement, adjustments, retained cohorts, confidentiality, non-circumvention, data, liability and dispute provisions survive as necessary. If the Panel is closed, JUS provides an alternative way to obtain statements and submit claims.

13 Changes and notices

13.1. JUS may propose revised Terms by providing the text or an accessible link, material changes and application date at least 7 calendar days in advance. Changes do not worsen the terms of traffic already sent or previously acquired cohorts without the Affiliate's separate express consent. Continuing new traffic after the stated date constitutes acceptance if that consequence was expressly notified. Silence or receipt of payments for previous cohorts is not acceptance.

13.2. Changes objectively necessary to comply with law or address an immediate security threat may apply immediately to the minimum necessary extent with reasons. An Advertiser's commercial preference alone does not permit retroactive changes. The Affiliate may stop new traffic and terminate while preserving settlement under previous rules.

13.3. Legally significant notices are sent to the Affiliate's registered email and, where available, the Panel; the Affiliate sends them to legal@jus.partners. A notice is delivered upon confirmed email delivery without a failure message or confirmed viewing in the Panel; JUS retains evidence. An immediate Offer stop requires confirmed receipt in an agreed operational channel. If delivery cannot be confirmed, the sender uses another agreed channel. Business days mean Monday to Friday excluding Georgian public holidays; time is Tbilisi time unless the Offer specifies otherwise.

14 Governing law and disputes

14.1. The agreement is governed by the substantive law of Georgia without excluding mandatory rules applicable regardless of the choice of law. The parties try in good faith to resolve a dispute within 30 calendar days of a written claim stating the facts, calculation and remedy sought. This process does not prevent urgent protective measures or steps needed to meet a statutory filing deadline.

14.2. Unresolved disputes are heard by the competent courts of Tbilisi, Georgia, except where another forum is mandatory. The parties may separately agree arbitration in writing for a particular agreement or dispute, identifying the institution, rules, seat, language and number of arbitrators. This clause is not itself an arbitration agreement. Limitation periods are determined by law and are not shortened by these Terms.

15 General provisions

15.1. The parties are independent contractors and may not bind each other without authority. Assignment of the agreement by the Affiliate requires JUS's written consent. JUS may transfer it to a successor or affiliate capable of performing the obligations on at least 14 calendar days' notice and without reducing the Affiliate's accrued rights; release of the original debtor is permitted only by law or with the required creditor consent.

15.2. Invalidity of a provision does not invalidate the rest if the agreement can operate without it. Failure to exercise a right is not a waiver. These Terms do not override specifically agreed existing obligations except under the rules governing contractual changes.

15.3. Corresponding Russian and English versions are provided. If they differ, English prevails unless a signed agreement states otherwise, subject to mandatory law.
